Welcome to T. Brock Dental Operations. These Terms of Service ("Terms") govern your use of our website and the fractional operational, consulting, and auditing services provided by T. Brock Dental Operations ("Consultant," "we," "us," or "our"). By accessing our website, purchasing an audit, or engaging us as a Fractional Operations Partner, you ("Client," "you," or "your") agree to be bound by these Terms.
1. Description of Services
T. Brock Dental Operations provides high-level administrative consulting, revenue cycle management (RCM) audits, and Fractional Chief Operating Officer (COO) services tailored for dental practices. Our primary service tiers include:
The Practice Health Audit: A diagnostic review of practice data, uncollected revenue, and unscheduled treatment.
Fractional Operations Partner (Retainer): Ongoing, month-to-month operational leadership, team training, and systems implementation.

2. Payment Terms & Billing
To ensure dedicated focus and momentum, our financial terms are structured as follows:
Practice Health Audit: The $750 fee for the initial diagnostic audit is due 100% upfront prior to the commencement of any data review or consulting work.
Fractional Operations Retainer: If engaged as a Fractional Operations Partner, the $2,500 monthly retainer is billed on the day of your Live Audit Presentation (or the agreed-upon start date) and automatically on the same day of each subsequent month.
Late Payments: Failure to process retainer payments may result in an immediate pause of all services, software access, and consulting calls until the account is made current.
3. Confidentiality, HIPAA, & Data Security
We understand that we are being handed the "keys to the castle." Protection of your practice’s proprietary information and your patients' health information is our highest priority.
Mutual Non-Disclosure: We agree to keep all practice financial data, staff compensation, and internal processes strictly confidential. You agree to keep our proprietary templates, SOPs, and "Roadmap to Optimization" strategies confidential and not distribute them to outside parties.
HIPAA Compliance: T. Brock Dental Operations acts as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). Prior to granting us access to your Practice Management Software (PMS) or CRM, both parties must execute a separate Business Associate Agreement (BAA).
4. Independent Contractor Status
T. Brock Dental Operations operates strictly as an independent contractor and consultant.
Nothing in these Terms or our working relationship shall be construed to create an employer-employee relationship, partnership, or joint venture.
We are not responsible for the withholding of any state or federal taxes, health insurance, workers' compensation, or any other employee benefits for our personnel.
5. Term and Termination
Month-to-Month Retainer: The Fractional Operations Partner retainer operates on a month-to-month basis unless a longer term is explicitly stated in a separate Statement of Work (SOW).
Notice of Cancellation: Either party may terminate the ongoing fractional retainer with a 30-day written notice. Services and billing will continue through the end of that 30-day notice period to allow for a proper offboarding and transition of duties back to the internal practice team.
6. Intellectual Property
All original methodologies, spreadsheets, operational frameworks, training materials, and documents (including the "Roadmap to Optimization") created and provided by T. Brock Dental Operations remain the intellectual property of T. Brock Dental Operations. Upon full payment of your fees, you are granted a limited, non-exclusive license to use these materials internally within your practice.
7. Limitation of Liability
While we bring 21+ years of operational expertise to optimize your practice, T. Brock Dental Operations does not guarantee specific financial results, case acceptance rates, or revenue increases. Our services are advisory and operational in nature. The ultimate decision-making authority and clinical responsibilities remain solely with the licensed practice owner. In no event shall T. Brock Dental Operations be liable for any indirect, incidental, or consequential damages arising out of our consulting services.
8. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas.
